1. About These Terms
These Terms and Conditions ("Terms") govern the use of services provided by Ironline Automation ("Ironline", "we", "us", or "our"), a business automation service provider based in Toronto, Ontario, Canada.
By engaging Ironline Automation's services or interacting with our SMS messaging systems, you agree to these Terms. If you do not agree, please do not use our services.
These Terms apply to:
- Business Clients — trades businesses and service companies that engage Ironline Automation as a service provider
- End Users — customers of our clients who receive automated SMS messages through our systems
- Website Visitors — anyone visiting ironlineagency.com
2. SMS Messaging Program
Program Description
Ironline Automation operates automated SMS messaging programs on behalf of trades businesses in Ontario, Canada. Message types include:
- Missed call text-back responses
- Appointment confirmations and reminders
- Lead follow-up sequences
- Review requests after completed jobs
- General customer service communications
Message Frequency
Message frequency varies. For missed call text-backs, one message is sent per missed call. For follow-up sequences, up to 5 messages may be sent over 14 days. Appointment reminders are sent once per appointment. Message frequency depends on your interactions with the business.

How to Opt Out
To stop receiving messages, reply STOP to any message at any time. Your opt-out will be processed immediately. You will receive one final confirmation and no further messages will be sent.
To opt back in, reply START at any time.
Opt-outs are permanent until you opt back in. Opting out does not affect any existing business relationship you have with the trades business.

3. Service Terms for Business Clients
3.1 Service Agreement
All business clients must sign a separate Service Agreement before Ironline Automation begins setup. These Terms and Conditions are incorporated into that agreement by reference.
3.2 Minimum Commitment
Services are provided on a 3-month minimum commitment, after which the arrangement continues month-to-month with 30 days written notice required to cancel. This minimum exists because automated systems require 60–90 days to generate meaningful, measurable results.
3.3 Pricing
- Package A (Never Miss a Lead): $350 CAD/month + HST (where applicable)
- Package B (Full Revenue Engine): $497 CAD/month + HST (where applicable)
- Setup fee: Waived for the first 5 clients. Standard setup fees may apply thereafter.
Prices are in Canadian dollars. Invoices are issued monthly. Payment is due within 7 days of invoice date.
3.4 Setup Process
Upon signing the Service Agreement, clients will:
- Complete a 15-minute intake form
- Review and approve all message templates before go-live
- Receive a delivery video showing the system working live
- Confirm go-live approval in writing
Setup is typically completed within 3–5 business days from receipt of the completed intake form.
3.5 Client Responsibilities
Business clients agree to:
- Provide accurate business information in the intake form
- Review and approve message templates promptly
- Ensure their own compliance with applicable laws in their business operations
- Not use the service for any purpose that violates CASL, PIPEDA, or carrier regulations
- Notify Ironline Automation of any changes to their business information that may affect the service
3.6 The Ironline Guarantee
If a client does not recover at least the cost of their monthly subscription in missed calls, new jobs, or measurable business value within 90 days of go-live, Ironline Automation will continue to provide services at no additional charge until the value threshold is met, or issue a refund of the most recent monthly payment. This guarantee applies to clients who:
- Have completed the intake form accurately and completely
- Have approved go-live and had the system active for at least 90 days
- Have not modified or disabled any automation workflows without authorization
4. Acceptable Use
Our services may not be used for:
- Sending spam, unsolicited bulk messages, or any content that violates CASL
- Harassment, threats, or abusive communications
- Fraudulent, deceptive, or misleading communications
- Content that is illegal, obscene, or harmful
- Age-gated content including alcohol, cannabis, or adult content
- Financial services, lending, or debt collection messaging
- Any purpose that violates Twilio's Acceptable Use Policy or carrier guidelines
Ironline Automation reserves the right to immediately suspend service for any violation of this section without refund.
5. CASL Compliance
Ironline Automation operates in full compliance with Canada's Anti-Spam Legislation (CASL). All automated messaging programs are designed with CASL compliance as a core requirement:
- All messages identify the sending business clearly
- All messages include opt-out instructions
- Opt-out requests are processed immediately and automatically
- Opt-out records are maintained indefinitely
- No messages are sent to opted-out numbers
Business clients are responsible for ensuring they have obtained appropriate consent from their customers under CASL before those customers interact with Ironline Automation's systems.
6. Data Ownership
Your data is always yours. Customer data collected through Ironline Automation's systems on behalf of a business client belongs to that business client. Ironline Automation acts as a data processor, not a data controller, for client customer data.
Upon cancellation of services:
- All client and customer data is available for export upon request at no charge
- Data export requests will be fulfilled within 14 business days
- Data will be provided in a standard, portable format (CSV or equivalent)
- Ironline Automation will delete client data within 30 days of confirmed export, subject to legal retention requirements
We do not sell, license, or share client data with any third party for commercial purposes.
7. Limitations of Liability
Ironline Automation's services are provided "as is." To the maximum extent permitted by applicable law:
- We do not guarantee specific business outcomes, revenue amounts, or results
- We are not liable for carrier delays, Twilio service outages, or third-party platform failures
- Our total liability to any client shall not exceed the amount paid in the 3 months prior to the claim
- We are not liable for indirect, incidental, or consequential damages
The Ironline Guarantee in Section 3.6 is our primary remedy mechanism and supersedes any other claims for service performance.
8. Service Availability and Maintenance
Ironline Automation makes reasonable efforts to maintain service uptime and reliability. However:
- We do not guarantee 100% uptime
- Planned maintenance will be communicated with reasonable advance notice where possible
- Urgent issues are addressed within 4 hours during business hours (Monday–Friday, 9am–6pm EST) and within 24 hours on weekends
- Monitoring is active across all automation systems and failures are addressed proactively
9. Intellectual Property
All automation systems, workflows, code, and infrastructure built by Ironline Automation remain the intellectual property of Ironline Automation. Business clients receive a license to use these systems during the term of their service agreement.
Message templates approved by the client become the property of the client and may be used by the client after termination of services.
10. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be resolved in the courts of Ontario, Canada.
Ironline Automation and its clients agree to attempt good-faith resolution of any dispute before pursuing formal legal proceedings.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to active clients via email with at least 14 days notice before taking effect. The "Last updated" date at the top of this page will reflect the most recent revision.
Continued use of services after notice of changes constitutes acceptance of the updated Terms.
